Client Agreement

Service Purchased: 12-Month Wisdom Mentoring (the “Program”).

1. The Parties hereby agree to the following:

1. Program/Service Description
2. Group Container/Mentoring/Inquiry Calls: Once Monthly 120-minute group teaching and processing calls and once monthly 60-minute Q&A calls
3. 1:1 Support: Voxer support Monday - Friday (except holidays) between 9-5 CST. Most responses will be in real-time (immediately) after receiving the Voxer message; however, I guarantee within 24 hours. Occasionally 1:1 support may happen in live Zoom calls if more support is needed beyond Voxer. 
4. Two in-person retreats at Circle Yoga Shala to include full accommodations
5. Access to our online courses: The Wisdom Enneagram and Self-Remembering
6. One live virtual retreat at the conclusion of the program

This Agreement is made effective as of and between   (hereinafter referred to as the “Client”) and Holly Krepps (hereinafter referred to as the “Mentor”). The Client and the Mentor will collectively be referred to herein as the “Parties”.

2. Payment

The client will pay the Investment under the following terms:

The client will pay invoice via Stripe using a credit card to render fee either via:

1. Payment in full (client has option to directly wire all funds to Holly Krepps).

2. Three installment payments.

3. Monthly recurring payments on the same date as the initial payment. 

Investment: $10,000.

Payment will be automatically completed by Stripe/credit card payment via the invoice sent to the Client and paid initially.

Late / No Payments: Payments are due on or before the due dates listed in this section. Late payments will not be accepted. If payment is not made on or before the due dates stated herein, the Mentor will email the Client with instructions on how to make immediate payment. If a credit card payment fails, the Client must provide new payment information within 48 hours. 

The Mentor will not perform any additional services for the Client until payment is completed, and the Client’s access to any client portal or materials may be removed until payment is made.

3. Refund Policy

The Mentor will do everything within her ability to ensure the Client’s satisfaction with the Program. The Mentor expects that the Client will do the same. 

If, for any reason, the Mentor is unable to fulfill her obligations to the Client, the Client will be refunded in full for any part of the Program paid for but not yet rendered.

4. Term

The Program is twelve months long and begins on January 30th, 2024 (the “Term”). The Client understands that the Parties do not have a relationship after the end of the Program. If the Parties choose to continue their relationship in any way, a separate and distinct agreement will be entered into and agreed upon. 

5. Client Commitments

The Client agrees to the following as part of the Program:

The Client shall participate fully in the Mentoring Calls and any other part of the program to the best of his/her ability.

The Client shall immediately inform the Mentor of any issues or difficulties he/she may have with the Program.

The Client shall complete payment of the Investment according to the Terms herein.

The Client takes full responsibility for his/her success in the program and understands this is an opportunity to re-think or create a new path forward for their business.

6. Mentor Commitments

The Mentor agrees to the following as part of the Program:

The Mentor shall participate fully and intently in the Mentoring Calls and any other part of the program to the best of his/her ability.

The Mentor will support the Client to the best of his/her abilities in accordance with Section I of this Agreement.

The Mentor will not, at any time, either directly or indirectly, use any information disclosed by the Client for the Mentor's own benefit, nor will the Mentor disclose or communicate, in any manner, any information to a third party about the Client. The Mentor will not divulge that the Parties are in a mentoring relationship without your express permission.

The Mentor agrees to conduct the Mentoring Calls/Sessions via Kajabi Community, Spiritual Sobriety Access Group & to respond via email and Voxer Monday - Friday U-5 pm CST (except holidays and with advanced notice)

7. Disclaimer

The Client understands that the Mentor is a Spiritual Guide/Mentor. The Client understands that the Mentor is not a therapist. The Mentor and Client’s work together is not a substitute for professional financial, business, or legal advice. The Client understands that the Mentor does not guarantee any outcome, income revenue, and/or profit from the Parties’ work together].

The Mentor is also not a therapist or licensed medical professional. Therefore the Client needs to discuss and clear any and all changes to the Client’s lifestyle, food intake, exercise regimen, or medical treatment with his/ her physician before implementing changes or habits suggested by the Mentor. Further, the Mentor has not promised, nor shall she be obligated to act as a therapist by providing psychological counseling, psychoanalysis, or behavioral therapy.

8. Cancellations & Rescheduling Appointments

If you cannot keep an appointment set up with the Mentor, please provide 24-hour notice. The Client can reschedule his/her appointment only by giving a week’s notice to ensure the Client can be accommodated and by contacting via email or Voxer to reschedule.

9. Limitation of Liability

Notwithstanding anything to the contrary contained herein, the Client’s sole and exclusive remedy for negligence, failure to perform, or breach by the Mentor hereunder shall be a refund of the amount paid but not earned on the Agreement. In no event shall the mentor be liable to the client for any indirect, special, exemplary, punitive, or consequential damages. 

10. Indemnification

Client agrees to indemnify and hold harmless the Mentor, Holly Krepps.

Holly Krepps and Circle Yoga Shala and its agents, employees, representatives, successors, and assigns from all direct and third-party claims, losses, expenses, and fees, including attorneys’ fees, costs, and judgments that may be asserted against Holly Krepps/Wisdom Mentor/Circle Yoga Shala by any third parties that result from the errors, negligence, acts, and/or omissions of the Client and/or the Mentor. 

11. ARBITRATION

Any controversy or claim between the Parties shall be settled by arbitration before a single, mutually agreed-upon arbitrator under the then-current rules of the American Arbitration Association (“AAA”). If the Parties cannot agree upon an arbitrator, then each party shall appoint one arbitrator and then both arbitrators, in turn, shall appoint a third neutral arbitrator to hear the matter. The decision and award of the arbitrator shall be final and binding, and the award so rendered may be entered in a state court of Arkansas. The arbitration hearing shall be held in the state of Arkansas. Each party shall pay its own costs and expenses related to the arbitration and shall split the cost of the arbitrator equally. The arbitrator will have no authority to award punitive or other non-compensatory damages to either party. No damages excluded by or in excess of any damage limitations set forth in this Agreement shall be awarded. The sole remedy for the Client shall be a refund of any amount paid to the Mentor.

12. Entire Agreement

This Agreement contains the entire agreement between the Parties. There are no other promises or conditions in any other agreement (oral or written) between the Parties.
